Terms of Use
Effective date: August 19, 2026
These Terms of Use (“Terms”) govern your access to and use of File3520 (“the Product”), a tax form preparation tool operated by Material Participation, LLC (“we,” “us,” or “our”), an Alabama limited liability company.
By creating an account or using the Product, you agree to these Terms. If you do not agree, do not use the Product.
1. What the Product Is
File3520 is a self-preparation tool that performs tax calculations for IRS Forms 3520, 3520-A, and 4970 based on data you enter. It generates completed PDF forms for your review, signature, and filing.
2. What the Product Is Not
The Product is not a tax advisor, law firm, CPA firm, or enrolled agent practice. Using it does not create an attorney-client, accountant-client, or any other professional relationship. Nothing produced by the Product constitutes tax, legal, or investment advice.
Whether you have a filing obligation under IRC sections 6048 or 6039F, how to classify trusts, gifts, or distributions, and whether the figures on a generated form are correct for your situation are determinations you or your own advisor must make.
3. Your Responsibilities
- Accuracy of input. The Product computes outputs from the data you provide. You are solely responsible for the accuracy, completeness, and correctness of all information you enter.
- Review before filing. You must review every figure and every page of any generated form before signing and filing it with the IRS. A generated form is a draft until you review, sign, and file it.
- Compliance. You are responsible for determining your own filing obligations, meeting all applicable deadlines, and complying with all federal, state, and local tax laws.
- Account security. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
4. No Guarantee of Acceptance
We do not represent or warrant that any form generated by the Product will be accepted by the IRS, that the calculations are free from error, or that using the Product satisfies any filing obligation. The IRS may reject, question, or request amendments to any filed form regardless of how it was prepared.
5. License and Access
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Product for your own lawful tax preparation purposes. You may not:
- Resell, sublicense, or provide bureau-service access to the Product.
- Reverse-engineer, decompile, or extract the source code of the Product.
- Use the Product to generate forms for a volume commercial tax preparation practice without a Professional license.
- Circumvent any access controls, usage limits, or licensing restrictions.
6. Pricing and Payment
Access to the Product is offered under the license tiers published on our pricing page. Prices are in U.S. dollars. Subscription management is handled by Clerk, Inc., and payment is processed by Stripe, Inc. By purchasing a license, you agree to their respective terms of service.
All purchases are final. Because the Product generates completed tax forms immediately upon request, refunds are not available once a form has been generated. If you believe a charge is in error, contact us at the email listed below.
7. Intellectual Property
All rights, title, and interest in the Product, including its code, design, calculation engines, and documentation, remain with Material Participation, LLC. These Terms grant you a license to use the Product, not ownership of any part of it.
IRS forms are U.S. government works and are not subject to copyright. The data you enter and the completed forms generated from it are yours.
8. Limitation of Liability
To the fullest extent permitted by law:
- The Product is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or accuracy.
- In no event shall Material Participation, LLC, its members, or its contractors be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Product.
- Our total aggregate liability for all claims arising out of or related to these Terms or the Product shall not exceed the amount you paid us in the twelve months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Material Participation, LLC from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Product, your violation of these Terms, or your filing of any form generated by the Product.
10. Termination
We may suspend or terminate your access to the Product at any time, with or without cause, and with or without notice. You may stop using the Product at any time. Upon termination, your license to use the Product ends immediately. Sections 2, 4, 8, 9, and 11 survive termination.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms shall be resolved in the state or federal courts located in Alabama, and you consent to the personal jurisdiction of those courts.
12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Product. Your continued use after a change takes effect constitutes acceptance of the updated Terms.
